Why would my computer lock up (laptop) with a black screen everytime wuauclt.exe starts itself?

I have disabled it from starting up through services.msc and the computer does not crash.  When i ENABLE it to start up automatically and then it starts itself, it only crashes when there is an internet connection and does not crash when the network cable is unplugged.  

No error messages or anything, just about 15-30 seconds after this process starts itself when there is a internet connection is when it happens.  The screen will go black but the fans are still running, almost like its "sleeping".  There is no way to "wake it up" other than doing a cold boot.

I am not on dial up.  I am on DSL with no router. Just a straight connection.

Network drivers are updated and installed correctly... I am stumped on this one.
