Did you un-install Win98SE first?
Do a clean install with the xp cd by re-partioning then formating the drive for the xp installation.

depending on the size of the drive you have, go get a copy of partition magic, or any other partition utility and creat a seperate drive from the remaining space available. toss in the XP CD and reboot, when in the installation process select the newly created partiona nd format that and install XP. then when you are done installing copy whatever files from your win98 folders to the xp drive then format the 98 partition. use partition magic to add the remaining space to the xp install, and rename the drive letter to c:\
now you are done
