PLEASE SUPPLY RELEVANT INFORMATION:
Operating System Version: win98 SE
Problem Application Name & Version:
Problem Hardware Make & Model: asrok k7s41gx/AMD athlon 2400
Error Messages: none

Just bought a new MOBO/CPU but not working together, when tested it out of the case with just PSU/memory/speaker/CPU&fan, fan does not spin
but when i removed the CPU the fan spin's but no BIOS beeps, does this mean that the CPU is faulty?
Should i get BIOS beeps without the CPU on the motherboard?

You've got an AMI BIOS on that motherboard. It should beep between 5 and 11 times if it doesn't find a CPU or if it finds the motherboard is faulty. (source: here)

So, did you plug in the case speaker connector? Are you sure it's plugged in the correct way?

Just to make sure we're talking about the same speaker: I mean the speaker inside the case, not any speakers plugged into any onboard sound!!

Yet if you can, test the CPU in another PC. Maybe at a firend's house? Or else ask a local PC shop to test both the CPU & the motherboard. If they say both work, then it's something else.

Mind, having it tested can cost a small fee.
