Operating System Version:win98(NOT se)+XP
Problem Application Name & Version:
Problem Hardware Make & Model:pen2(64ram)+ celeron(128ram)
Error Messages:

I am fairly new to networking and have read your peer-to-peer net.checklist but still am not sure whether what I want to do is going to work.
I want to share my internet connection and some files. I've got the win 98(with no NIC inside) pc connected to a cable modem via a USB cable (downstairs). I've also got 2 pc's (upstairs) running XP(both have network cards inside). I've also got a 4port Belkin router. I want to connect the router to the cable modem via the ethernet port on the modem, then connect the 2 pc's upstairs to the router.
Will this work?
Do i need a NIC inside the pc(downstairs) running win 98?
Also, can I share an internet connection with win98, or do I need to upgrade it?
Your help would be greatly appreciated.

Yes you will need a NIC in the Win98 system if you want to share internet and files.
ICS started in Windows 98 SE, therefore if you want this system to share internet you will need to upgrade or get a third party NAT (Internet Sharing) software.

A good place to start would be at to get info on ICS.
